VeCaAd Referral Program Terms & Conditions

By Participating In This Referral Program ("The Program"), You ("The Participant") Agree To The Following Terms & Conditions ("The Terms"):

The Terms are effective between The Participant and VeCaAd ("VeCaAd") as of the date The Participant electronically accepts or agrees to The Terms. VeCaAd administers The Program, and VeCaAd alone determines the full commission amount, and monthly commission amount, for each qualified referral, and determines the amounts on a case-by-case basis.

To participate in The Program, The Participant must:

  • Be 18 years old or older, and legally able to agree to The Terms and enter into a contract
  • Reside where it is legal to, and be legally able to, participate in a USA based referral program
  • Have full legal authority to enter into an agreement consisting of The Terms
  • Agree to all of The Terms
  • Apply using the form at the end of The Program webpage
  • Get accepted and authorized by VeCaAd, and be in good standing

In participating in The Program, The Participant agrees to not:

  • Spam or cold-contact businesses or people to generate referrals
  • Violate any of The Terms
  • Exploit any loopholes in The Program
  • Violate intellectual property rights
  • Disrupt or undermine The Program
  • Be dishonest, unethical, or try to cheat The Program
  • Engage in illegal or unsportsmanlike conduct or activities
  • Harass any businesses, participants, or others
  • Claim or imply to be a VeCaAd employee or representative
  • Refer explicit businesses (if unsure about a business, then ask VeCaAd)

The Participant agrees to accept the decisions, rulings, and judgements of VeCaAd in any disputes, claims or causes of action arising out of, or related to The Program, or any prize awarded. Except where prohibited, any disputes, claims or causes of action arising out of, or related to The Program, or any prize awarded, shall be resolved under the laws of the State of Nevada, United States of America, without regard to conflicts of laws principles. Any claims, legal proceeding or litigation will be brought to Clark County, Nevada, United States of America, and The Participant consents to the jurisdiction of Nevada courts.

The Participant agrees to defend, indemnify, and hold harmless VeCaAd, its owners, directors, officers, employees, contractors, consultants, and affiliates from any and all claims, injuries, damages, losses, or suits, including attorney fees, which arise out of, relate to, or result from participating in The Program, or result from any act or omission of VeCaAd.

To be eligible for commissions, The Participant must be authorized by VeCaAd to participate in The Program, and must be in good standing. Commissions for each Qualified Business Referral ("Qualified Business Referral") and each Qualified Person Referral ("Qualified Person Referral") are paid in monthly segments, for a maximum of ten months, with each business referral segment paid roughly 63 days after VeCaAd receives the referred business's full monthly payment, and each person referral segment paid after VeCaAd pays the referred person's monthly business referral commission. Even if The Participant acts in another role or position for VeCaAd, The Participant agrees that time spent on, and services rendered for, The Program will not result in billable hours, nor hourly pay, nor benefits, nor reimbursement, nor any compensation other than the commissions as outlined by The Program.

A Qualified Business Referral is a referred new sign up on VeCaAd's monthly marketing consulting services that stays on as a paying client for at least ten months, is judged by VeCaAd to be a Qualified Business Referral, is referred only by The Participant, and follows The Terms. If a referred business stays on VeCaAd's monthly marketing consulting services as a paying client for at least one month but less than ten months, then the business referral will result in a commission amount based on the number of months that the referred business was a paying client on VeCaAd's monthly marketing consulting services and any other factors that VeCaAd determines should effect the commission amount. The sum total of commissions for one business referral may equal, but not exceed, VeCaAd's determined full commission amount for the Qualified Business Referral. If multiple participants refer the same business, then VeCaAd will determine whether and how to divide commissions between them.

A Qualified Person Referral is a referred new participant on The Program who provides VeCaAd a Qualified Business Referral, is judged by VeCaAd to be a Qualified Person Referral, is referred only by The Participant, and follows The Terms. If a referred person provides a business referral that stays on VeCaAd's monthly marketing consulting services as a paying client for at least one month but less than ten months, then the person referral will result in a commission amount based on the number of months that the referred person's business referral was a paying client on VeCaAd's monthly marketing consulting services and any other factors that VeCaAd determines should effect the commission amount. If a referred person provides multiple business referrals, then each business referral has the potential to result in person referral commissions for The Participant. The sum total of commissions for one person referral may equal, but not exceed, VeCaAd's determined full commission amount for the Qualified Person Referral. If multiple participants refer the same person, then VeCaAd will determine whether and how to divide commissions between them.

The Participant agrees and acknowledges that commissions for a business referral will stop if the referred business's monthly payments to VeCaAd stop, and that commissions for a person referral will stop if the referred person's monthly business referral commissions from VeCaAd stop. If VeCaAd determines that less than full commissions should be paid, then The Participant agrees to accept less than full commissions, and agrees to not pursue the full commissions. The Participant agrees that VeCaAd can stop or reduce commissions at any time. If either The Participant's own business referral, or The Participant's person referral's business referral, receives a payment refund from VeCaAd, then The Participant agrees to not receive commissions for that referral for the month directly associated with the refund. VeCaAd is not obligated to release to The Participant the reasons why commissions stopped or reduced, why a particular commission is set at a determined amount, or why a particular referral was not deemed a qualified referral.

If The Participant violates any of The Terms, then The Participant agrees to forfeit all future referrals and commissions, as well as forfeit and return any previously paid commissions that VeCaAd determines resulted from, or were in any way associated with, the violation. VeCaAd reserves the right, in its sole discretion, to not pay any commissions to The Participant where VeCaAd determines The Participant's actions are not consistent with the intent of The Program. The Participant agrees to complete any applicable tax forms requested, before receiving each commission payment. All amounts referenced or payable under The Program are in U.S. Dollars, unless VeCaAd notifies otherwise.

For a business referral to be eligible for commissions, the referred business must sign up using The Participant's unique promo code issued by VeCaAd, or The Participant must correctly submit the referral on VeCaAd's Submit Referrals page, and save the referral confirmation number and confirmation page. For a person referral to be eligible for commissions, the referred person must identify The Participant as their referrer when they apply for The Program. No commissions for referring a business or person that has already signed up. Participants may refer their own businesses to VeCaAd's marketing consulting services within The Terms, but they may not refer themselves as person referrals to The Program. VeCaAd reserves the right to refuse service, even to a referred business or person. If The Participant does not agree to The Terms in their entirety, then The Participant is not authorized to participate in The Program in any manner.

Participation in The Program does not authorize The Participant to act on VeCaAd's behalf. Nothing herein is intended or will be construed to constitute or imply a joint venture, employer-employee relationship, representative relationship, partnership or association between The Participant and VeCaAd. By participating in The Program, The Participant acknowledges that it is as an independent contractor and at The Participant's own risk. The Program is made available to The Participant on an "as is" basis, without warranty to The Participant of any kind, express or implied. Neither VeCaAd, nor The Program, nor The Terms make any warranty to The Participant regarding The Program, and each expressly disclaims all warranties to The Participant, express or implied.

The Program is void where prohibited. The Program in its entirety, or for an individual participant, may be altered, modified, changed, or discontinued by VeCaAd at any time, and if The Participant is required to follow the alterations, modifications, changes, or discontinuations, then VeCaAd will send The Participant a written notice. Changes to The Program for an individual participant must be written by VeCaAd to have any effect. Any written notices required or permitted to be given by VeCaAd may be sent by email. Failure to enforce any of The Terms will not constitute a waiver.
